1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", "your") and Journease Ltd ("Journease", "we", "us", "our"), a company registered in England and Wales, governing your access to and use of our courier management software and related services ("Services").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you may not access or use the Services.
2. Description of Services
Journease provides cloud-based courier management software including, but not limited to:
- Job booking and dispatch management
- Driver mobile applications
- GPS tracking and route planning
- Customer portals and tracking
- Invoicing and billing
- Reporting and analytics
- API integrations
The specific features available to you depend on your subscription plan.
3. Account Registration
To use our Services, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and update your information as needed
- Keep your login credentials confidential
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorised access
You must be at least 18 years old and have the authority to bind your organisation to these Terms.
4. Subscription and Payment
4.1 Subscription Plans
Our Services are provided on a subscription basis. Current pricing and plan details are available on our website. We reserve the right to change pricing with 30 days' notice.
4.2 Payment Terms
- Subscriptions are billed monthly or annually in advance
- Payment is due within 14 days of invoice date
- All prices are in GBP and exclusive of VAT unless stated otherwise
- We may suspend access for overdue payments exceeding 30 days
4.3 Refunds
Subscription fees are non-refundable except where required by law or at our sole discretion. If you cancel mid-term, you retain access until the end of your paid period.
5. Acceptable Use
You agree not to:
- Violate any applicable laws or regulations
- Infringe upon intellectual property rights
- Transmit malicious code, viruses, or harmful content
- Attempt to gain unauthorised access to our systems
- Use the Services to send spam or unsolicited communications
- Interfere with or disrupt the Services or servers
- Reverse engineer, decompile, or disassemble the software
- Resell, sublicense, or redistribute the Services without permission
- Use the Services in a way that could harm Journease or other users
6. Your Data
6.1 Ownership
You retain ownership of all data you input into the Services ("Customer Data"). We do not claim ownership of your Customer Data.
6.2 Licence
You grant us a limited licence to use, process, and store your Customer Data solely to provide and improve our Services.
6.3 Data Protection
We process personal data in accordance with our Privacy Policy and applicable data protection laws including UK GDPR. Where we process personal data on your behalf, we act as a data processor.
6.4 Data Export
You may export your Customer Data at any time through our standard export features. Upon termination, we will make your data available for export for 30 days.
7. Intellectual Property
The Services, including all software, design, content, trademarks, and other intellectual property, are owned by Journease or our licensors. These Terms do not grant you any rights to our intellectual property except the limited right to use the Services as permitted.
8. Service Availability
8.1 Uptime
We strive to maintain 99.9% uptime for our Services. However, we do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance where possible.
8.2 Support
We provide technical support during UK business hours (Monday-Friday, 9am-5:30pm). Enterprise customers may have access to extended support options as detailed in their service agreement.
9. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
- We are not liable for indirect, incidental, special, consequential, or punitive damages
- We are not liable for loss of profits, data, business, or goodwill
- We are not liable for circumstances beyond our reasonable control
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
10. Indemnification
You agree to indemnify and hold Journease harmless from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.
11. Term and Termination
11.1 Term
These Terms remain in effect while you use our Services. Subscriptions continue until cancelled by either party.
11.2 Termination by You
You may cancel your subscription at any time with 30 days' notice. Cancellation takes effect at the end of your current billing period.
11.3 Termination by Us
We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees, or if required by law. We will provide notice where reasonably practicable.
11.4 Effect of Termination
Upon termination, your right to access the Services ceases. We will retain your data for 30 days to allow export, after which it may be deleted. Provisions that should survive termination will remain in effect.
12. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes via email or through the Services at least 30 days before they take effect. Continued use after changes constitutes acceptance.
13. General Provisions
13.1 Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English courts.
13.2 Entire Agreement
These Terms, together with our Privacy Policy and any order forms, constitute the entire agreement between you and Journease.
13.3 Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect.
13.4 Waiver
Failure to enforce any provision does not constitute a waiver of our right to enforce it later.
13.5 Assignment
You may not assign these Terms without our written consent. We may assign our rights and obligations without restriction.
